The inaugural public meeting of the Baldwin Hills Conservancy was called to order by Board Member Mary Nichols acting Chair at 1:59 p.m. on March 9, 2001, at Kenneth Hahn State Recreational Area, 4100 S. La Cienega Boulevard, Los Angeles, California, 90056.

I. Closed Session:
Pursuant to Government Code sections 54956.8, 54956.9 and 54957, the Conservancy may hold a closed session to discuss and take possible action on personnel matters and or receive advice of counsel on pending or potential litigation. Confidential memoranda related to these issues may be considered during such closed session discussions. The Conservancy will conduct a closed session pursuant to government Code section 54957 to consider the appointment of an Executive Officer. This closed session is a continuation of the closed session, which the Board began on May 4, 2001 to consider the appointment of an Executive Officer.
If the Board takes any action during this closed session, that action will be announced on the website of the Baldwin Hills Conservancy within 24 hours.
At the Board’s next regularly scheduled meeting on June 1, 2001, the Board will return to closed session to ratify any action which may be taken during the conference call closed session. The Board will then return to open session to announce its action.
The Governing Board of the Baldwin Hills Conservancy met in special closed session on May 11, 2001, in continuation of its closed session meeting that began on May 4, 2001, to consider the appointment of an Executive Officer. The Chair called the special closed session meeting of the Baldwin Hills Conservancy to order at 4:16 p.m., via conference call from the following locations:

RESOLUTION 01-04
RESOLUTION (1) ADOPTING PROCEDURES FOR COMPLIANCE
WITH STATE AGENCY ETHICS TRAINING PURSUANT TO
GOVERNMENT CODE SECTION 11146, ET SEQ.;
(2) APPROVING FORM FOR CERTIFICATION OF COMPLIANCE
WHEREAS, the Baldwin Hills Conservancy (“BHC”) as a state agency is subject to Government Code section 11146, et seq., effective January 1, 1999, which mandates ethics training for persons holding specified positions at state agencies;
WHEREAS, the Board members and Executive Officer of the Conservancy are among those persons required to take ethics training;
WHEREAS, the Office of the Attorney General and the Fair Political Practices Commission have developed training materials in the form of a video presentation or an interactive Internet course to assist agencies in providing an orientation course;
WHEREAS, as a state agency, the BHC is required to establish procedures to ensure compliance with the ethics training requirements and to offer at least semi-annually to its Board members and Executive Officer an orientation course on the relevant ethics statutes and regulations governing the conduct of state officials;
NOW, THEREFORE, LET IT BE RESOLVED BY THE BALDWIN HILLS CONSERVANCY GOVERNING BOARD THAT IT ADOPTS THE FOLLOWING PROCEDURES IN ORDER TO COMPLY WITH THE PROVISIONS OF GOVERNMENT CODE SECTION 11146, ET SEQ., PERTAINING TO ETHICS TRAINING:
1. Compliance by each Board member and by the Executive Officer with the ethics training requirements of Government Code section 11146, et seq., shall by achieved:
a. By viewing the ethics orientation video which the Office of the Attorney General and the Fair Political Practices Commission have prepared or by completing the interactive Internet ethics orientation which the Office of the Attorney General and the Fair Political Practices Commission have prepared; and
b. By reviewing the BHC’s Conflict of Interest Code provisions after they have been adopted and approved by the Office of Administrative Law and the Fair Political Practices Commission, said provisions being specific only to the official duties of the BHC Board and Executive Officer.
2. Each BHC Board member and the Executive Officer shall sign a statement certifying that he or she has completed the ethics training requirements as outlined in paragraph (a). The signed statements shall be in the form attached hereto. The signed statements shall be retained in the records of the BHC.
3. Each BHC Board member and the Executive Officer shall complete their ethics training within six (6) months of assuming their office.
4. Any BHC Board member who has completed the ethics training as a requirement of holding another position in a state agency within the time periods set forth in Government Code sections 11146.3(a) or 11146.3(b) shall not be required to comply again. (See Government Code, § 11146.4(a).)
5. Each BHC Board member shall provide a certification of compliance at least once during each consecutive two calendar years thereafter.

RESOLUTION 01-05
WHEREAS, Government Code section 11019.9, effective January 1, 2001, requires all departments and agencies of the State of California to enact and maintain a permanent privacy policy, in adherence with the Information Practices Act of 1977 (Civil Code section 1798 et seq.), that includes, but is not necessarily limited to, the following principles:
(a) Personally identifiable information may only be obtained through lawful means;
(b) The purposes for which personally identifiable data are collected shall be specified at or prior to the time of collection, and any subsequent use of the data shall be limited to and consistent with the fulfillment of those purposes previously specified;
(c) Personal data may not be disclosed, made available, or otherwise used for a purpose other than those specified, except with the consent of the subject of the data, or as required by law or regulation;
(d) Personal data collected shall be relevant to the purpose for which it is needed; and
(e) The general means by which personal data is protected against loss, unauthorized access, use, modification, or disclosure shall be posted, unless the disclosure of those general means would compromise legitimate agency objectives or law enforcement purposes;
WHEREAS, Government Code section 11011.9 requires each state agency to implement this privacy policy by:
· Designating which position within the department or agency is responsible for the implementation of and adherence to this privacy policy;
· Prominently posting the policy physically in its offices and on its internet website, if any;
· Distributing the policy to each of its employees and contractors who have access to personal data;
· Complying with the Information Practices Act (Civil Code Section 1798 et seq.); the Public Records Act (Government Code Section 6250 et seq.); Government Code Section 11015.5, and all other laws pertaining to information privacy;
· Using appropriate means to successfully implement and adhere to this privacy policy;
WHEREAS, the Baldwin Hills Conservancy, as a state agency, is subject to Government Code section 11019.9;
NOW, THEREFORE, BE IT RESOLVED BY THE BALDWIN HILLS CONSERVANCY GOVERNING BOARD THAT PURSUANT TO GOVERNMENT CODE SECTION 11019.9 AND IN ADHERENCE TO THE INFORMATION PRACTICES ACT OF 1977 (TITLE 1.8 (COMMENCING WITH SECTION 1798) OF PART 4 OF DIVISION 3 OF THE CIVIL CODE) THE BALDWIN HILLS CONSERVANCY (“BHC”) ADOPTS THE FOLLOWING PRIVACY POLICY:
PRIVACY POLICY OF THE
BALDWIN HILLS CONSERVANCY
This policy applies, but without limitation, to personnel records, job applications, personal information which may be required for the submission of a grant application, request for bid or request for proposal, and to personal information submitted to or requested by the BHC in conjunction with entering into contracts or making land acquisitions or from any other source. The BHC does not compile personal information other than employment applications, employee personnel records, and mailing lists used to provide notices or otherwise to inform the public.
Section 1: Definitions
This policy adopts by reference all of the relevant definitions found at Government Code Section 1798.3 including but not limited to the following:
(a) The term “personal information” means any information that is maintained by the BHC that identifies or describes an individual, including, but not necessarily limited to, his name or her name, social security number, physical description, home address, home telephone number, marital status and dependent information, education, financial matters, and medical or employment history. It includes statements made by or attributed to, the individual.
(b) The term “disclose” means to disclose, release, transfer, disseminate, or otherwise communicate all or any part of any record orally, in writing, or by electronic or any other means to any person or entity.
The term “employee” means an employee of the BHC.
Section 2: Policy Principles
The following principles shall apply to the disclosure, release, transfer, dissemination or any other communication of personal information:
